Neurodegenerative diseases such as motor neuron disease, dementia, Parkinson’s disease, and Alzheimer’s disease are on the rise with over 50 million (and rising) dealing with these diseases.

As a molecular neuroscientist, I researched what went on in a single neuron, which resulted in a form of ALS (Amyotrophic Lateral Sclerosis or motor neuron disease). Private biotechnology research moves significantly faster than at an academic institute (where I did my PhD, for example), but it is incredibly capital draining and takes a lot of time.

The life cycles for biotechnology deals take longer and with way more money. Many are tackling the problems of neurodegenerative disease, but the investment side is truly lacking.

This is due to a lack of understanding by many investors, family offices, and UHNWIs. The right advice and expertise are key to deploying capital in this incredibly impactful area.

Investors who are bullish on this field are usually the ones who have had personal experience (friends and family) who have had a neurodegenerative disease. They have witnessed the palliative care needed, the burden it puts upon the interdisciplinary team, but also on the immediate and extended family.

Biotechnology, neurodegenerative diseases, is one of the highest impact investment zones one can deploy capital into for equity, but also for philanthropy.

The Private Tech Market interest.

The private market deals are of keen interest to asset managers.

What you need to know for private market deals.

The reality is expertise.

Investors looking at private market deals would typically have a financial background, experience within this domain (In IB, Hedge fund and so on) or even have the CFA qualification.

This is fabulous for the public market, as trends, current affairs (as we’re seeing), and confidence are key.

The private market even at series A,B,C is earlier. There is often little to no information on companies, unless they’re high profile like SpaceX, Figure, Stripe etc.

This is why there is more of a need for deep, domain expertise, and industry insights.

You need to know the following for Seed-Series B or so:

• Does this fit your investment thesis and passion?

• Is the team who they say they are (background, experience, qualifications)

• Is the CEO a true visionary capable of anything?

• Does the science check out, how is the company structured and who else is on the cap table, what are the scientific papers like?

• What are the main milestones of the company upon securing capital? What are their goals, the overall vision, is there a planned exit vision, is this what you want as an investor?

A critical point for all LPs is understanding their IDF. What specifically do they want to invest in and why.

So let me dive into the bullet points and elaborate a little more here

LPs seeking to invest in these markets need to be informed about what they're investing into:

Passion about what the mission of SpaceX is

Having a deep rooted love for spacetech, space travel, making human civilisation multi-planetary is key. LPs should be invested in what the mission and vision is of the specific company they wish to deploy into, this results in a greater interest and want.

This also allows for decisions to be made rapidly and with greater confidence, as you have most likely done your homework if this is the case!

Understanding why they do what they do

You dont need to be a physicist to understand their overall mission and vision, but having an understanding via research conducted in what SpaceX are doing is critical. I have been on calls with LPs who are interested, and the lack of understanding is easily seen.

Quite often the LP want to deploy is driven by FOMO of a friend/fellow LP having deployed and talking about it non stop.

Like with any scientific investment, it is best to have someone who knows science. The process, procedure and how long things may take.

Having your own internal research document with publicly available information is also critical, do your homework!

Have liquidity at hand, able to execute the deal within days

The secondary tech market as many now know, moves rapidly. SpaceX recently announced a valuation of $350bn .

The growth is second to none, they are enabling human beings to travel to Mars but also take the necessary infrastructure up to into space. Everyone is turning to them for this.

Delays in deals closing can result in fluctuation of share prices with demand at an all time high, quality and trusted supply is very slim. Its only increasing over time.

Having “all your ducks in a row” with research, board/IC approval, internal due diligence is critical for a deal to close on time. Timelines are often 7-10 days to close.

Don’t forget, this isnt a seed stage company. Its a well establish, high growth stage company with incredible traction (Science, founder, team).

Having said all of that, there are some clear points which i have seen which i must mention. Why LPs should not deploy capital in this secondary market industry is as follows:

Lack of understanding of What SpaceX does and why

Just like with anything, lacking understanding in the technology, team, mission, vision isnt a good start.

I have personally witnessed this to those initially “interested”, de-risking a potential investment starts by understanding why they do what they do. Ensure you have all the basic questions covered with your internal research team before initiating the deal process.

If you think valuations are "overinflated"

A hot topic when it comes to SpaceX, however opinions aside…

..the company continues to grow regardless of what some may think. Stick to your guns though if that is your thought process. We all have opinions, personal and professional after all!

FOMO - Your LP buddy invested, so now you want to. Just to say you did

Potentially one of the worst things to do in any sector. FOMO invest.

It shows a lack of investor prowess, risk increases massively. Having been on calls where this was the reasoning, LPs eventually realise this. A highly emotional thought process often results in FOMO investing.

Just dont.

You're slow at making the decision

Once a deal is presented, signing and wire must occur by the deal deadline. For a start you must have access with the right private fund or vehicle. These relationships usually take time to build and have been validated via compliance/KYC checks.

“Busy schedules”, uncertainty, second thoughts, hold ups of any sort result in deals not going forward.

First time deals in this space should be done correctly, and rapidly. The goal is to gain access for further follow on investments should you want to. Having a deal close on time shows you can make decisions and know what you want.

Confidence is given to all involved in the deal in particular the fund holding the asset, and the syndicate lead of said SPV which the LP is going into.

If you’re slow, its a no-go.

Earlier this week i made a post with example of how family offices are diversifying their investments and thus portfolio for greater impact. This is the post below:

Each generation will have their personal views and goals. Todays world is centred around technology, AI in particular.

At the heart of this is a want, to move human civilisation forwards. It comes as no surprise that many family offices diversifying in tech who we have enabled to do this are keen on impact:

• Biotechnology - from seeing family and friends suffer with diseases. The want to help and invest into technology which truly does move civilisation forwards.

• Deep Tech - SpaceX is enabling those on Earth to venture into space, set up on Mars and more. This is one example of how family offices have invested in this private company via secondary shares.

We have only seen a very small subset of family offices equipped to handle the demands of scientific investments.

Reviewing these investments requires technical expertise for the due diligence, to date we have enabled over 8-figure sums (USD) within this technical impactful private market.

We have also managed to outline potential red flags to the investment committee interested in the deal, saving the heart-ache of a 6-7 figure deployment. But thats not where the issue really is…

…many family offices like to co-invest/syndicate with their family office network. In doing so they are giving assurance and confidence to their co-investor network. However, now having the correct technical due diligence can lead to others deploying into a scientifically high risk, red flag ridden deal.

This can cause road blocks in relationships, and drop co-investor confidence in the deals you bring forward.

As populations age, the numbers of these incidences are going up. It should be no surprise to many that family offices, UHNWs, VCs are pumping cash into this sector

The impact and potential is huge. We all know friends or family who may have suffered with one of these devastating diseases.

Client Case Study: Point Science Analytics was brought on board to conduct early stage technical due diligence of a neuroscience based startup seeking a seed round of over $5m. A single family office was interested in deploying a 7-figure sum and co-syndicating with their network due to the biotech working on a neurodegenerative disease asset with IP. This was of interest to the family office as they had family members who had this disease, and others who had passed away.

Deliverable: We evaluated the technical team along with the science of what was proposed and reviewed their potential for commercialisation. The impact was evident, however data points presented needed further clarification, along with the commercialisation approach for specific assets. Behind the scenes, fabrication of semiconductors is what is in high demand.

Semiconductors are the chips used for running AI models/LLMs.

At the heart of this race is the battle between the China and USA, along with the geopolitical complications which are present.

Todays newsletter will break this down with some snap shot insights and analysis with heading articles from the Wall Street Journal imbedded.

TSMC shares hit a record high

The Wall Street Journal has released an article outlining this. Now TSMC is located in Taiwan, so you may be thinking what does this have to do with China and USA?

It has everything to do with them.

The potentials for China to invade Taiwan has been hovering on the surface for many years. Should this occur, TSMCs production of chips will dramatically decrease/stop.

Currently, TSMC produce the semiconductors for Apple, Nvidia and other major players located in the USA.

A disruption in their chip production could have catastrophic effects upon the worlds major AI companies which depend on TSMCs chip production.

Leading to competitors such as ARM semiconductor and ASML having to pick up the slack.

China raised $48bn for a semiconductor fund

China does sense the sheer demand presented due to the AI boom and the need for compute power in the form of semiconductors.

This latest cash injection of $48bn is set to compete with the USA for semiconductor powers.

However the US CHIPS act remains dominant with over $60bn committed by the US government.

The US CHIPS act also prevents those funded from manufacturing within China, another method which the US has used to strategically position themselves ahead of China.

However the battle of the semiconductor superpower is still very much in the balance of both this colossal nations. Over time we may see these numbers head to the hundreds of billions, if not trillions.

Dutch company ASML is now in the spotlight for China-US

ASML uses some of the most complex machinery which involves the use of light to print onto silicone wafers. Previously there were not any issues with where they could sell their light printing machines.

However as geopolitical issues deepen between China and the USA ASML, a Dutch based company is having to pay closer attention.

Pressure form the USA to limit exports to China due to concerns for their support of Russia is proving to be a tough space to navigate.

ASML like many in the deep tech world are trying to avoid the politics of the situation, however is this even possible in today day and age? Ill leave that to you, the reader to decide.

What we are seeing is the need to consider geopolitical issues when it comes to semiconductors within the world.

With the AI boom resulting in software companies such as Nvida, OpenAI, Meta, Alphabet and more rallying up, it has also resulted in the semiconductor manufacturers doing the same.

We are approaching a new era of “deep tech”. Where semiconductors are the new currency and commodity of the planet.

However, Moore’s Law of transistors appears to be reaching its saturation point, so what will be the defining factor to break through this and become the new, higher compute power semiconductor?

The article mentions that having access is whats key, however access isn’t the be all and end all. Quality access is what you want as an investor in these highly technical, monumental companies.

So todays newsletter will go into key points for SpaceX when you do get access, the things to look out for which ive personally seen and experienced working on these deals.

Where is the Vehicle?

So you have SpaceX as a potential deal via SPV. You’re excited and want to get involved. Before any deal terms its important to know this:

• Where the vehicle is from the SpaceX shares.

Is there a chain? Or does the vehicle sit on-top of another SPV which holds SpaceX?

Is this an SPV that own part of an SPV that owns part of an SPV and so on…

The more in the chain, the more the ‘terms' have changed. As everyone involved takes their part.

Are these good terms?

Think about the following:

• Share price

• Syndicate lead fee

• Management fee

• Carry amount

• SPV costings

I bring the best deal to my LPs, however in the market i have seen some absolutely awful ones also with fees through the roof.

The question is this - is the syndicate lead bringing me the best deal? What other potential deals are out there? Will they have access to more in the future? What else does my syndicate lead have to offer me with their expertise/background?

All things to consider.

How fast can we move?

The one thing i have seen in this market/ space is that speed of execution and closing is key.

Investors who have liquidity at hand are prioritised and deals often close within a couple of weeks due to an increasing market and demand.

So as a potential LP in this space for SPVs make sure you have done all your DD on the publicly available info for SpaceX before engaging in these deals (theres a lot out there).

Seeking more information slows the deal process down and thus terms change within a matter of weeks. Its critical to have all of your eggs lined up, ready to hatch at the same time!

I have witnessed this countless times, a lack of liquidity had led to the investor being unable to proceed. More often than not these deals are heavily oversubscribed by people just wanting in.

Key take home points:

• Do your DD on public info before hand

• Have liquidity for commitments/wire of funds prior to engaging in deals

• Be ready to move fast and decide.

Ex-founder turned investor was the most popular but why?

Operational experience, as they say hands on experience is the best. These types of investors know what is needed to build something great and what the founders go through on a day to day basis.

Not to mention the experience they gain from speaking with investors as a founder only to be in that position now. So when the time comes to speak with founders as the investor, they know just the right in depth questions to ask and have technical knowledge.

Technical investments require technical knowledge.

Bio/deep tech investments require more than the typical investment space of B2B SaaS for example.

The financials is one thing and necessary. Always seek the correct financial advice for investments from a licensed and accredited financial advisor. We, at Point Science Analytics do not offer advice on the financial side of investments. Our advice is on the deep technical science in relation to the investment at hand.

Subject matter expertise in this field (a PhD) will no doubt boost things for an investor. This is because the investor can now understand the inner workings of the science and the why of said founder/team. Here, we’re talking Pre-seed to Series A/B (private companies).

VCs, PE, Angels, who possess this technical background have been able to make better informed investment decisions. What they are doing is de-risking the technical aspect of the investment from their background subject matter expertise.

You may think because an investor has a PhD and expertise that is it, however this often opens the door for external verification and i have assisted many PhD backed VCs with deeply technical investment due diligence as they wanted a second opinion to ensure they aren’t being bias.

The more money managed (AUM) the better you are?

The classic, bigger is better.

On the side of LPs, i’ve spoke with many who want to see fund managers with these kinds of track records. Proven returns, great communication, transparency.

While AUM certainly leads to the big headlines or viral posts (at times), its actually the ones we never hear about who are doing the greatest of things. You know what i mean, the intro only investors, the ones where all it says is “LP login” on their website. Those.

While AUM certainly does help and provide confidence to LPs as an investor it isn’t the be all and end all as AUM does take time to build up!

So what did others have to say?

Im going to summarise some of the other comments made which will end in my own personal opinion on the matter.

1. Investors with experience and expertise in science can add more to the founder.

   1. Its not always about capital, operational experience and an understanding of the science can really help move the pin forwards

2. Bringing one great value add is good

   1. Business knowledge or scientific - Value is in the specific expertise which the investor can have, again to move the pin forwards.

3. PhD expertise have shown the best investment return.

   1. Read the comment here - academic prowess, patents, scientific writing, ex-founder/exits all make a gem of an investor.

Now what do i think?

There are two perspectives here:

1. Emerging investors

   1. New/upcoming fund managers/investors i have seen will benefit from having the hands on experience of being a founder (exit or not). This has typically led to angel investments being made before fund set up.

   2. PhD expertise means they have the network of PhDs also. Leading to further vetting of investments and thus de-risking.

2. Established investors

   1. All of the above included but they have had time in the game. This has resulted in a proven track record of ROI, AUM, trust.

Ultimately, there is no perfect investor. But risk can be mitigated by having expertise, being an ex founder, and having the proven track record. This all takes time and a growth minded individual who can attract the right fellow investors to them will do the best.

So here is what i have seen in bio/deep tech investments:

1) Investors have money, but they're holding onto it tightly...

- But this doesn't mean investors aren't open to meetings.

Investors are keen to build relationships, especially UHNWs and Family Offices. They are built upon trust and getting to know the people who are driving the ideas forwards.

This takes time. In todays world people are not patient, seek to make friends. Do not take a meeting, be too direct and expect a ticket size/commitment for investment if you’re a GP or even founder.

Presenting the opportunity well is what i have seen work. Investors like people who listen and can communicate in short bursts.

Talking for 15-20 mins about why your start-up or fund is the best thing going since sliced bread leads to bordem. The goal on first calls is to be energetic, keen, and curious and knowledgeable.

Money is there, more than ever but trust is lacking in the world when it comes to investments. One should seek to build trusting, long term relationships. Stage 1.

If you are having a panic and need funds now. You have ‘started’ too late. Founders and fund managers alike. Principles are the same.

2) Deal-by-deal basis - UHNWs & Family offices are looking more at deals themselves while deploying into funds.

- They're harnessing their expert network to assist and sharing deals.

Deploying into PE and VC funds as LPs is still a given. For maximal diversification of course.

However for relationships to be built, individuals are still prioritised. Namely founders for a deal-by-deal basis.

As generations change, so too does the interest and what the market is saying/doing.

1st to 3rd generation family will have different interests, not to mention the different era we now live in.

This is where bio/deep tech start-ups are proving to be of interest. Investors are taking on expert advisors to assist with understanding the science along with the right financial advisory team (in house) to evaluate deal opportunities.

Following the build of a relationship, the presentation of a deal can be made. Stage 2.

3) LPs are always open for new opportunities!

- It's the relationship build which counts for them (stage 1), rather than the expectation of writing a ticket size after 1 meeting!

See stage 1 and stage 2 above.

A logical order and strategy is key for bringing on new LPs.

First trust, then opportunity.

This is more for fund managers, LPs are pretty much everywhere. What i am seeing is GPs are only searching for potential LPs within the Family Office, centi-millionaire, billionaire space. But what about the following:

• Exited founder with capital to deploy

• Retired ex-banker with capital to deploy

• Couple with significant household income capital to deploy

My point is this, LPs could already be in your network. Their ticket amount may only be the angel size, but their network could be vast.

When i speak with LPs, nearly all of them have people in their network who would deploy significant funds into emerging managers.

Think clearly, and strategically.

4) Bio/Deep tech VC funds + Startups are peaking the interest more of investors for portfolio diversification

5) Neuroscience is proving to be a trigger word in the investment space. Triggering FOMO among investors.

Both of these points im pooling together.

Science is technical and complex, but its around to do good.

Bio/deep tech in particular. The greatest interest i have seen is the following:

• Neuroscience

• Longevity

• Semiconductors

“Investing/giving to do good”, sometimes called philanthropy is even more so on the rise within these sectors.

However, due to its complex and unknown nature, neuroscience is an areas investors are unsure about but wanting to deploy capital.

I have spoken to a few funds being established in neuroscience ($30m-$80m) to get ahead of the curve. They are setting up and fundraising early for the next few years.

This is because neuroscience and longevity go hand-in-hand. Especially when it comes to neurodegenerative diseases like Dementia, ALS, Parkinson’s, Alzheimer’s.

Not to mention BCI - Neuralink and Blackrock Neurotech

The CNS is still very much unknown and disease mechanisms at that. This is why expert advisory in the field is critical for de-risking investments on the scientific basis and evaluating what the future could hold within this field.

There we have it, a summary and snappy(ish) analysis of what investors worldwide are saying when it comes to the bio/deep tech space.
